GENERAL TERMS AND CONDITIONS (GTC)

1. Scope of Application

These General Terms and Conditions (“GTC”) apply to all contracts, services and business relationships between RSB SPORTS LAB, a business unit of RSB Design GmbH (“Agency”), and its clients, athletes, partners or other contracting parties (“Client”). These GTC apply to both business clients (B2B) and athletes as natural persons, unless mandatory statutory provisions provide otherwise. Individual agreements shall prevail over these GTC.

2. Services

The Agency provides services including but not limited to:

  • Athlete management
  • Sponsorship & partnerships
  • Sports marketing & communication
  • Strategy, branding and activation
  • Advisory and consulting services

The specific scope of services is defined exclusively in the respective individual agreement.

3. Client Obligations

The Client shall provide all information, materials and approvals required for the proper performance of the services in a timely manner.

4. Fees

Fees, retainers and commissions are governed exclusively by the individual agreement. All fees are exclusive of VAT, if applicable.

5. Usage Rights & References

The Client grants the Agency the right to use collaboration-related content for reference, 
marketing and sales purposes, subject to applicable law and prior approvals where required.

6. Confidentiality

Both parties shall treat all confidential information as strictly confidential, including after termination of the contractual relationship.

7. Liability

The Agency shall be liable without limitation in cases of intent or gross negligence. In cases of slight negligence, liability is limited to foreseeable damages typical for the contract.

8. Term & Termination

Unless otherwise agreed, contracts may be terminated with two months’ notice to the end of a calendar month in text form. Termination for cause remains unaffected.

9. Data Protection

The parties shall comply with all applicable data protection laws, in particular the GDPR. A data processing agreement pursuant to Article 28 GDPR shall be concluded where required.

10. Governing Law & Jurisdiction

German law shall apply exclusively. Place of jurisdiction is Essen, Germany, where legally permissible.
